ARRIS TECHNOLOGY INC SOFTWARE LICENSE TERMS AND CONDITIONS

These license terms are an agreement between ARRIS Technology, Inc. (“CommScope”) or one of its affiliates. And you or the entity you represent (“you” or “your”).

BY USING THIS APPLICATION SOFTWARE (THE “APPLICATION”), YOU AGREE TO THE TERMS AND CONDITIONS BELOW. IF YOU DO NOT AGREE, DO NOT USE THIS APPLICATION. You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into this agreement for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity.

1. OWNERSHIP RIGHTS AND LICENSE GRANT: CommScope owns all rights, title, and interest to this Application, and you are granted a limited right to use , reproduce and distribute this aApplication in binary form only for the Limited Purpose. “Limited Purpose” shall mean to execute solely and exclusively on or in combination with a microcontroller or microprocessor device manufactured by or for STMicroelectronics. You may redistribute this Application to your developers, partners, customers or distributors, and any such redistribution must be accompanied by this license terms and conditions, except when the Application is distributed by you as embedded into microcontroller or microprocessor device manufactured by or for STMicrolectronics.SDKs included in the Application may only be used in conjunction with CommScope PKI provisioning and security service platforms.

2. GENERAL RESTRICTIONS: You agree that you will not, and will not permit any third party to

1. modify, copy, create a derivative work, or otherwise reproduce this Application in whole or in part exceptfor the Limited Purpose;
2. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code form or structure of the code used in the Application; or (c) remove any proprietary notices or labels displayed in the Application. You shall treat any materials, including but not limited to human user and software client credentials, data type IDs, account IDs, and hardware tokens, given to you by CommScope to the for the purpose of using any CommScope services or processing any data obtained from any CommScope services as confidential materials, and take necessary measures to prevent them from being disclosed or transferred to any unauthorized party, whether independently or as part of a package. CommScope shall not be liable for any damage caused by any disclosure or transfer of such materials to any unauthorized party. Test materials (including, but not limited to, keys and certificates) provided by any CommScope service and/or obtained through the use of any CommScope SDK or client are intended exclusively for testing and evaluation purposes. Such materials shall not be distributed to any unauthorized individuals or entities and shall not be used in any production environment. CommScope expressly disclaims any and all liability for the misuse or unauthorized use of these test materials, including, without limitation, their use in production systems.

3. EXPORT RESTRICTIONS. You must comply with all domestic and international export laws and regulations that apply to this Application, which include restrictions on destinations, end users, and end use.

4. SUPPORT SERVICES. CommScope is not obligated under this agreement to provide any support services for this Application. Any support provided is “as is”, “with all faults”, and without warranty of any kind.

5. UPDATES. CommScope may periodically update this Application. You may obtain updates only from CommScope or CommScope-authorized sources. Updates may not include or support all existing software features, services, or peripheral devices.

6. TERMINATION. Without prejudice to any other rights, CommScope may terminate this agreement if you fail to comply with any of its terms or conditions. In such event, you must destroy all copies of this Application and all its component parts.

7. ENTIRE AGREEMENT. This agreement, and any other terms CommScope may provide for supplements, updates, or third-party applications, is the entire agreement for this Application.

8. APPLICABLE LAW AND PLACE TO RESOLVE DISPUTES. This license will be governed by the internal laws of the State of North Carolina, including the Uniform Commercial Code as adopted in the State of North Carolina, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply.

9. DISCLAIMER OF WARRANTY. THIS APPLICATION IS LICENSED “AS IS.” YOU BEAR THE RISK OF USING IT. COMMSCOPE GIVES NO EXPRESS WARRANTIES, GUARANTEES, OR CONDITIONS. TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, COMMSCOPE EXCLUDES ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible to testing and using the Application in accordance with its intended use and applications.

10. LIMITATION ON AND EXCLUSION OF DAMAGES. IF YOU HAVE ANY BASIS FOR RECOVERING DAMAGES DESPITE THE PRECEDING DISCLAIMER OF WARRANTY, YOU CAN RECOVER FROM COMMSCOPE AND ITS SUPPLIERS ONLY DIRECT DAMAGES UP TO U.S. $5.00. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES. This limitation applies to

1. anything related to the software, services, content (including code) on third party Internet sites,or third-party applications; and (b) claims for breach of contract, warranty, guarantee, or condition; strict liability, negligence, or other tort; or any other claim; in each case to the extent permitted by applicable law. It also applies even if CommScope knew or should have known about the possibility of the damages. The above limitation or exclusion may not apply to you because your state, province, or country may not allow the exclusion or limitation of incidental, consequential, or other damages.

11. EXCLUDED LICENSE. You will not subject this Application in whole or in part to any of the terms of an Excluded License. “Excluded License” means any license that requires (as a condition of use, modification and/or distribution of this Application) such Application or other software combined and/or distributed with such Application to be

1. disclosed or distributed in source code form;
2. licensed for the purpose of making derivative works; or (c) redistributable at no charge. Loadable Kernel Modules are subject to the GPA, as derivatives of the Linux Kernel, and are considered licensed under an Excluded License.

12. THIRD PARTY COMPONENTS. The software may include third party components with separate legal notices or governed by other agreement, as may be described withing the software or in the Third Party Notices file(s) accompanying the software. You shall not directly access or use any third party components independent of the software unless you obtains appropriate licenses. Under certain circumstances, CommScope may advise that you need to obtain a license for other third-party components for use in conjunction with the CommScope software. You agree that the terms and conditions agreed to between you and such third-party software vendor, including but not limited to warranties, indemnification, and support, shall be solely between you and the third-party software vendor, and CommScope shall not have any responsibility or liability for such third-party components or related royalties or fees arising from your use of the same.

SOFTWARE PACKAGE LICENSE AGREEMENT

BY INSTALLING COPYING, DOWNLOADING, ACCESSING OR OTHERWISE USING THIS SOFTWARE PACKAGE OR ANY PART THEREOF (AND THE RELATED DOCUMENTATION) FROM STMICROELECTRONICS INTERNATIONAL N.V, SWISS BRANCH AND/OR ITS AFFILIATED COMPANIES (STMICROELECTRONICS), THE RECIPIENT, ON BEHALF OF HIMSELF OR HERSELF, OR ON BEHALF OF ANY ENTITY BY WHICH SUCH RECIPIENT IS EMPLOYED AND/OR ENGAGED AGREES TO BE BOUND BY THIS SOFTWARE PACKAGE LICENSE AGREEMENT.

Under STMicroelectronics’ intellectual property rights and subject to applicable licensing terms for any third-party software incorporated in this software package and applicable Open Source Terms (as defined here below), the redistribution, reproduction and use in source and binary forms of the software package or any part thereof, with or without modification, are permitted provided that the following conditions are met:

1. Redistribution of source code (modified or not) must retain any copyright notice, this list of conditions and the following disclaimer.

2. Redistributions in binary form, except as embedded into microcontroller or microprocessor device manufactured by or for STMicroelectronics or a software update for such device, must reproduce the above copyright notice, this list of conditions and the following disclaimer in the documentation and/or other materials provided with the distribution.

3. Neither the name of STMicroelectronics nor the names of other contributors to this software package may be used to endorse or promote products derived from this software package or part thereof without specific written permission.

4. This software package or any part thereof, including modifications and/or derivative works of this software package, must be used and execute solely and exclusively on or in combination with a microcontroller or a microprocessor devices manufactured by or for STMicroelectronics.

5. No use, reproduction or redistribution of this software package partially or totally may be done in any manner that would subject this software package to any Open Source Terms (as defined below).

By installing copying, downloading, accessing or otherwise using this software package, the recipient agrees to be bound by such license terms with regard to such third party software.

8. STMicroelectronics has no obligation to provide any maintenance, support or updates for the software package.

9. The software package is and will remain the exclusive property of STMicroelectronics and its licensors. The recipient will not take any action that jeopardizes STMicroelectronics and its licensors’ proprietary rights or acquire any rights in the software package, except the limited rights specified hereunder.

10. The recipient shall comply with all applicable laws and regulations affecting the use of the software package or any part thereof including any applicable export control law or regulation.

11. Redistribution and use of this software package partially or any part thereof other than as permitted under this license is void and will automatically terminate your rights under this license.
